Terms and Conditions
Definitions 1.1 “Goods” refers to medical supplies and any other products provided by the Seller. 1.2 “Credit” implies sales on credit terms as outlined in these Terms of Trade. 1.3 “Price” denotes the agreed cost of Goods between the Seller and Customer.
General Provisions 2.1 These Terms constitute a legally binding agreement upon acceptance by the Customer, either through direct instruction or receipt of Goods. 2.2 Amendments to these Terms require the Seller’s written consent.
Price and Payment 3.1 The Price is determined at the Seller's discretion, either as stated on invoices or as per the Seller's quoted Price, subject to changes. 3.2 The Seller reserves the right to adjust Prices due to market changes. 3.3 A deposit may be required, and the payment time is specified on the invoice. 3.4 Accepted payment methods include cash, cheque, direct credit, or other agreed methods.
Delivery and Shipping 4.1 Goods are delivered from the Seller’s premises unless otherwise arranged. 4.2 Delivery costs are additional unless stated otherwise. 4.3 The Customer must be prepared to receive Goods; otherwise, a redelivery fee may apply. 4.4 The Seller is not liable for delays or failures in delivery due to unforeseen circumstances.
Risk and Insurance 5.1 The risk passes to the Customer upon delivery, though the Seller retains ownership until full payment. 5.2 In case of damage or destruction before ownership transfer, the Seller claims any insurance proceeds.
Ownership and Title 6.1 Ownership passes once the Customer fulfills all payment obligations. 6.2 The Customer is responsible for keeping the Goods identifiable and separate until full payment. 6.3 The Seller reserves the right to reclaim Goods in case of non-payment.
Personal Property Securities Act 1999 7.1 Acknowledgment of these terms constitutes a security agreement under PPSA. 7.2 The Customer agrees to cooperate for registration on the Personal Property Securities Register.
Customer Disclaimer 8.1 Customers rely on their judgment and disclaim any right to rescind or claim restitution based on misrepresentation.
Defects and Quality 9.1 Claims for defects or non-compliance must be made within seven days of delivery. 9.2 The Seller’s liability for defects is limited to replacement or discounting the Price.
Warranty and Liability 10.1 No implied warranties beyond what is stated; liability limited to the Price of Goods.
Consumer Guarantees Act Compliance 11.1 Compliance with the Consumer Guarantees Act 1993 is affirmed.
Default and Consequences 12.1 Interest accrues on overdue payments; Customer indemnifies Seller against costs incurred due to default. 12.2 The Seller may suspend services or demand immediate payment in case of Customer default.
Cancellation Policy 13.1 The Seller can cancel contracts or deliveries; refunds will be issued for any prepayments.
Privacy and Data Usage 14.1 Consent for data collection and use is granted for creditworthiness assessment and marketing. 14.2 Rights under the Privacy Act 1993 are acknowledged.
Miscellaneous Provisions 15.1 Governing law is New Zealand's law. 15.2 Set off rights are reserved for the Seller. 15.3 The Seller may subcontract without consent. 15.4 Exemption from liability for events beyond control. 15.5 Notice requirements for changes in the Customer's ownership or details. 15.6 Non-enforcement of a provision is not a waiver of rights.
